Terms and Conditions: Supercharge Lifetime Plan

These Terms and Conditions (“Terms”) govern the purchase of and participation in the Supercharge Lifetime Plan (“the Plan”) provided by Someli Marketing & Technology Ltd, commercial license 4791, under Dubai International Financial Center, DIFC Innovation Hub, Gate Avenue South, Dubai, United Arab Emirates (“the Company”). By subscribing to this Plan, the Subscriber (“the Partner”) enters into a strategic partnership designed to facilitate Someli’s independent global expansion while rewarding the Partner with a net-zero cost for long-term use of its marketing and business growth platform & service.

  1. Program Strategy & Independence

    Someli is committed to a user-led growth model. By participating in the Supercharge Lifetime Plan, the Partner provides the necessary revenue for Someli to scale internationally without the need for traditional Venture Capital and "Red Tape" or aggressive exit-mandates associated with Venture Capital (VC). This ensures the platform remains focused on user needs and sustainable innovation

  1. Eligibility & The "Original 100" Limit

  • Exclusivity: This Plan is strictly limited to the first 100 qualifying businesses. Once this quota is met, the Plan will be closed to new subscribers.

  • Qualified Entities: The Plan is available to International registered business entities only, specifically USA, Canada, UK, Europe, and Australia.

3. Phase 1: The Activation Period (Months 1–12)

  • Subscription Fee: The Partner agrees to pay a monthly subscription fee of $499.00 (inclusive of all applicable taxes and VAT) for a fixed term of 12 consecutive months.

  • Platform Access: Someli will provide full access to the Supercharge Tier, including all AI content generation, Video generation and editing support, global scheduling, and priority support.

  • Commitment: To qualify for Phase 2 and 3, the Partner must maintain an active, uninterrupted subscription for the full 12-month duration.

4. Phase 2: The 100% Refund Period (Months 13–24)

  • Subscription Waiver: Effective Month 13, the Partner’s monthly subscription fee is reduced to $0.00.

  • 100% Refund Guarantee: Starting in Month 13, Someli will issue 12 monthly repayments to the Partner. Each payment will equal the total monthly amount paid in Phase 1 (e.g., $499 inclusive of all taxes).

  • Payment Method: Refunds will be credited back to the original payment method or via bank transfer, as determined by the Company.

5. Phase 3: Free For Life (Years 3–15)

  • Lifetime Access: Upon the successful completion of Phase 1, the Partner is granted a "Free for Life" license to the Someli platform.

  • Defined Term: For the purposes of this agreement, "Life" is defined as a total period of 15 years from the initial subscription date.

  • Net Cost: For the duration of this term, the Partner shall pay $0.00 for the core features included in the Supercharge platform.

6. Service Continuity and Successor Terms

6.1 Acquisition or Merger
In the event that Someli is acquired or sold, this Agreement is a condition of the sale. Any successor entity is contractually obligated to maintain the Supercharge Lifetime status. In the event a successor entity migrates the technology to a new platform, Someli (or its successor) commits to providing the Partner with access to a functionally equivalent AI service to ensure the "Free for Life" commitment is fulfilled.

6.2 Commitment to Service

We are building Someli for the long haul. Should the Company face operational changes, our primary commitment is the delivery of the service you helped build. Someli reserves the right to fulfill its "Free for Life" obligation by providing credits or subscriptions to a similar AI service provider of equal or greater value, ensuring the Partner is never left without the utility they subscribed for.

7. Partner Business Continuity & Non-Transferability

7.1 Closure of Partner Business

The Supercharge Lifetime Plan is a partnership between Someli and the specific legal entity (The Partner) registered at the time of sign-up.

  • Termination on Closure: Should the Partner’s business cease operations, undergo liquidation, or permanently close, this Agreement, the associated refund schedule, and the Lifetime Access grant will automatically terminate.

  • No Residual Value: This plan has no cash-out value beyond the active service and the scheduled refunds for an operating business.

7.2 Non-Transferability (The AI Learning Limit)

Due to the nature of the Someli Platform, the AI "learns" and "trains" specifically on the Partner’s business, services, industry, sector, brand, and associated data.

  • Asset Specificity: As the AI becomes deeply integrated with the original business profile, the Supercharge Lifetime Plan is non-transferable to another business, individual, or entity.

  • Prohibition of Sale: Partners are strictly prohibited from selling, leasing, or gifting their "Original 100" spot to third-party businesses. Any attempt to change the core business identity or "rebrand" the account to an unrelated entity will result in the immediate forfeiture of the refund schedule and lifetime status.

8. Refund & Early Termination

The 100% Refund (Months 13–24) is contingent upon the Partner remaining an active, operating business. If the business closes or the account is deactivated by the Partner prior to or during the Refund Phase, Someli’s obligation to issue further repayments shall remain but without continuity of Someli Service.

Early Termination 

  • Early Termination: If the Partner fails to complete the 12-month Activation Period, they forfeit the 100% Refund, and the Lifetime Access Grant for that business.

Standard Terms: This Plan is subject to Someli’s standard Fair Use and Privacy Policies.
